1. Acceptance of Terms
By accessing and using the services provided by Amalgamate ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
2. Services Description
Amalgamate provides digital transformation services including but not limited to:
- Web development and design
- Mobile application development
- Digital marketing services
- IT consulting and solutions
- Cloud infrastructure services
- E-commerce platform development
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information
- Cooperate with our team during project development
- Provide timely feedback and approvals
- Maintain confidentiality of project information
- Pay agreed fees within specified timeframes
4. Payment Terms
Payment terms are as follows:
- 50% deposit required upon project commencement
- Remaining balance due upon project completion
- All payments must be made in Kenyan Shillings (KES)
- Late payments may incur additional charges
- Project work may be suspended for overdue payments
5. Intellectual Property
Upon full payment, clients own the final deliverables. However, Amalgamate retains the right to:
- Use completed work in our portfolio
- Display work samples for marketing purposes
- Retain ownership of proprietary code and frameworks
- Use project experience for future development
6. Project Timeline
Project timelines are estimates and may vary based on:
- Project complexity and scope changes
- Client feedback and revision cycles
- Third-party integrations and dependencies
- Force majeure events
7. Confidentiality
Both parties agree to maintain confidentiality of:
- Business information and trade secrets
- Project specifications and requirements
- Technical implementations and solutions
- Client data and proprietary information
8. Limitation of Liability
Amalgamate's liability is limited to:
- The amount paid for the specific service
- Direct damages only, excluding consequential damages
- Issues arising from our direct actions or negligence
- Compliance with applicable laws and regulations
9. Termination
Either party may terminate the agreement with written notice. Upon termination:
- Client pays for work completed to date
- Amalgamate delivers completed work
- Confidentiality obligations remain in effect
- Intellectual property rights are preserved
10. Governing Law
These terms are governed by the laws of Kenya. Any disputes shall be resolved through:
- Good faith negotiations between parties
- Mediation if direct resolution fails
- Legal proceedings in Kenyan courts if necessary
11. Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued use of our services constitutes acceptance of modified terms.
